1. Software, not advice (publisher exemption)

[APEX PREDATOR LLC] operates an automated software platform that publishes general-purpose trading signals and — in paid tiers — executes trades on brokerage accounts that the user authorizes. We rely on the "publisher exemption" recognized in Lowe v. SEC and reinforced in Taucher v. Born and related authority. We are:

  • Not an investment adviser registered under the Investment Advisers Act of 1940;
  • Not a Commodity Trading Advisor (CTA) registered with the Commodity Futures Trading Commission (CFTC) or National Futures Association (NFA);
  • Not a Commodity Pool Operator, Introducing Broker, Futures Commission Merchant, or Swap Dealer;
  • Not a broker-dealer registered with the Securities and Exchange Commission (SEC) or FINRA;
  • Not a custodian of your funds. Your broker holds your money. We never do.

Nothing we publish is individualized investment advice. We do not know your financial situation, investment objectives, risk tolerance, tax posture, or any other personal circumstance. We do not purport to know them. Signals and automation are general-purpose and are not tailored to you.

FOR EXAMPLE, THE ABILITY TO WITHSTAND LOSSES OR TO ADHERE TO A PARTICULAR TRADING PROGRAM IN SPITE OF TRADING LOSSES ARE MATERIAL POINTS WHICH CAN ALSO ADVERSELY AFFECT ACTUAL TRADING RESULTS.

THERE ARE NUMEROUS OTHER FACTORS RELATED TO THE MARKETS IN GENERAL OR TO THE IMPLEMENTATION OF ANY SPECIFIC TRADING PROGRAM WHICH CANNOT BE FULLY ACCOUNTED FOR IN THE PREPARATION OF HYPOTHETICAL PERFORMANCE RESULTS AND ALL OF WHICH CAN ADVERSELY AFFECT ACTUAL TRADING RESULTS.

Any performance figures shown on apexpredator.live that are described as "back-tested," "simulated," "paper," "hypothetical," or "model" are subject to the above. Live, post-inception results (when available) will be labeled as such and will include an audit methodology note.

3. Risk disclosure — futures and derivatives

Trading in futures contracts carries a high degree of risk. The high degree of leverage that is obtainable in futures trading can work against you as well as for you. The use of leverage can lead to large losses as well as gains. Before trading, consider:

  • Your financial condition and whether you can afford substantial and total loss of all funds committed to trading;
  • The risk of margin calls and the requirement to deposit additional funds on short notice;
  • The possibility that exchange or broker operational issues prevent you from exiting a position when you want to;
  • The fact that automated systems — including this Service — can malfunction, experience connectivity failures, or behave unexpectedly under unusual market conditions;
  • The impact of slippage, commissions, exchange fees, overnight holding costs, and taxes on realized returns.

You should carefully consider whether trading is suitable for you in light of your circumstances and financial resources. Consult a licensed financial advisor, broker-dealer, CTA, or attorney if you are unsure.

4. No guaranteed results; no warranty of profitability

We do not — and cannot — guarantee any trading outcome. We do not warrant that signals will be correct, that automation will execute without error, or that any strategy will produce profits or avoid losses. Signals may be late, missed, reversed, or withdrawn. The market conditions under which any strategy was designed may no longer apply. All users assume the full risk of any trade executed on their accounts.

5. Jurisdictional and eligibility limits

The Service is offered exclusively to legal residents of the United States of age 18 or older. We do not solicit or accept users from:

  • Jurisdictions subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia and Kherson regions of Ukraine);
  • Jurisdictions where the use of the Service would violate local law, including local financial-services, commodities, or securities regulations.

We may, at our discretion, block access from any jurisdiction at any time. If we learn that you accessed the Service from a restricted jurisdiction, we may suspend your account.

6. No testimonials without proper disclosure

We do not solicit or publish user testimonials about trading performance. If we ever do, they will include: (a) the typical customer experience (NFA 2-29(b)(5)); (b) material facts that would influence a reader's evaluation; (c) proper disclosures of whether the testimonial was compensated or solicited; and (d) disclaimers consistent with 17 CFR § 255 and FTC Endorsement Guides.

7. Conflicts of interest

The operator(s) of [APEX PREDATOR LLC] may hold or trade the same instruments about which the Service publishes signals, and may trade in accounts that run the same or different strategies. We disclose this openly. Any material conflict that arises will be disclosed here.

8. Third-party content and linked sites

Any third-party content (market data, news, broker interfaces, documentation) referenced or linked from the Service is not endorsed by us unless explicitly stated. Linking does not imply affiliation, sponsorship, or approval.

9. Taxes are your responsibility

We do not provide tax advice. Trading may generate taxable events under federal, state, and local law. Consult a qualified tax professional about your specific situation.
